Welcome to NILContracts IQ ("Service"), a product of MINTangible, Inc. ("Company," "we," "us," or "our"). NILContracts IQ is an AI-powered contract analysis platform designed to help college athletes, agents, and other authorized users understand Name, Image, and Likeness ("NIL") agreements.

By accessing or using our Service, you ("User," "you," or "your") agree to be bound by these Terms of Use ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

NILContracts IQ is an AI-powered platform that analyzes NIL contracts to help users:

• Understand contract terms in plain English
• Identify potential issues and red flags in contract language
• Review compliance considerations across NCAA rules, state laws, school policies, and NIL Go clearinghouse requirements
• Track disclosure deadlines and reporting requirements
• Ask follow-up questions about analyzed contracts through our AI assistant

5. Account Types and Subscriptions

5.1 Account Types

We offer the following account types:

• Athlete Account: Designed for individual college athletes to analyze their own NIL contracts. Limited to a single athlete profile.
• Agent Account: Designed for agents, managers, and other representatives managing multiple athletes. Allows unlimited athlete profiles.

5.2 Subscription Terms

Subscriptions are billed on a recurring basis (monthly or annually, as selected). You authorize us to charge your designated payment method for all applicable fees. Subscriptions automatically renew unless cancelled before the renewal date. You may cancel your subscription at any time through your account settings.

5.3 Promotional Codes

From time to time, we may offer promotional codes that provide discounts or free access to certain features. Promotional codes are subject to specific terms and conditions communicated at the time of the offer, may not be combined with other offers, and may be revoked at any time.

6. Payment Processing and Third-Party Services

6.1 Payment Processing

Payment processing services for NILContracts IQ are provided by Stripe, Inc. ("Stripe"). By subscribing to our Service, you agree to be bound by Stripe's Terms of Service (available at stripe.com/legal) as they may be modified from time to time. We are not responsible for Stripe's services, and any payment-related issues should be resolved according to Stripe's policies.

6.2 AI Processing Services

Our AI-powered analysis is provided through third-party artificial intelligence services. Your contract data is processed through these AI systems to generate analysis. We select AI providers that maintain appropriate data security and privacy practices, but we encourage you to review our Privacy Policy for details on how your data is handled.

6.3 Third-Party Terms

Our Service integrates with various third-party services to provide functionality. By using our Service, you acknowledge that your use of these integrated services is subject to the respective third-party terms and privacy policies. We are not responsible for the practices of third-party service providers.

7. Beta Programs and Early Access

We may from time to time offer beta programs, early access features, or testing opportunities ("Beta Programs"). Participation in Beta Programs is subject to the following additional terms:

• Testing Nature: Beta features are provided for testing purposes and may contain additional bugs, errors, or incomplete functionality beyond typical AI limitations. Beta features may be modified or discontinued at any time without notice.
• Feedback: By participating in a Beta Program, you agree that your feedback helps build the final product. You grant us a perpetual, royalty-free license to use any feedback, suggestions, or ideas you provide.
• No Guarantees: We make no guarantees regarding the availability, functionality, or future development of beta features.
• Confidentiality: Unless otherwise specified, beta features and your participation in Beta Programs should be kept confidential.
• Promotional Incentives: Beta participants may receive promotional benefits (such as extended free access) as specified in the Beta Program terms. These incentives are subject to completion of any required feedback activities.

By using NILContracts IQ, you agree to:

• Provide accurate and complete information when creating your account
• Maintain the security of your account credentials
• Only upload contracts for which you have authorization to analyze
• Independently verify AI-generated analysis before making important decisions
• Consult with licensed attorneys for legal advice
• Use the Service only for lawful purposes
• Not attempt to reverse engineer, copy, or redistribute our technology
• Not share your account access with unauthorized parties

9. Privacy and Data Security

9.1 Contract Confidentiality

We understand the sensitive nature of the contracts you upload. Your contracts remain confidential and are only accessible by you (and, for Agent accounts, authorized team members). We do not share, sell, or distribute your contract data to third parties for their own purposes.

9.2 AI Processing

To provide our AI-powered analysis, contract text is processed through artificial intelligence systems. This processing is necessary to deliver the Service. We implement appropriate safeguards to protect your data during AI processing, and we select AI providers that maintain reasonable security practices.

9.3 Data Retention

Your contract data is retained for as long as your account is active. You may delete individual contracts or your entire account at any time through the Service interface.

10. Intellectual Property

The Service, including its design, features, content, AI models, and underlying technology, is owned by MINTangible, Inc. and protected by intellectual property laws. You retain ownership of any contracts you upload, but grant us a limited license to process them for the purpose of providing the Service and improving our AI capabilities.

11. Limitation of Liability

You expressly acknowledge that AI-generated analysis may contain errors, omissions, or inaccuracies, and you agree to verify all important information independently and consult with licensed professionals before making decisions based on our analysis.

12. Indemnification

You agree to indemnify and hold harmless MINTangible, Inc., its officers, directors, employees, and agents from any claims, damages, or expenses arising from: your use of the Service; decisions made based on AI-generated analysis; your violation of these Terms; or your violation of any rights of third parties.

13. Termination

You may terminate your account at any time through the Service interface or by contacting us. We may terminate or suspend your account for violation of these Terms or for any other reason at our discretion. Upon termination, your right to use the Service ceases immediately. Data retention following termination is governed by Section 9.3 of these Terms.

14. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by email or through the Service. Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service.

15. Governing Law and Disputes

These Terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Virginia, and you consent to the personal jurisdiction of such courts.
